The Roundtable will then move to a discussion of other recent developments and current debates in corporate governance. Depending on the interest of participants, additional issues to be discussed at the Roundtable may include departures from the principle of one-share/one-vote, including the index eligibility of multiple-class companies, and tenure voting; institutional investor stewardship and the rise of passive investing; recent trends in executive compensation; and mandatory arbitration and forum selection bylaws.
